This End-User License Agreement ("Agreement") is a legal contract between you ("User") and PodXero ("Licensor") for the PodXero Studio application, including its media, documentation, and updates (the "Software").

Read this before installing the Software. If you do not accept these terms, do not install or use the Software; if you already installed it, uninstall it and delete the data files listed in Section 5.

1. License Grant

Subject to your compliance with this Agreement, Licensor grants you a non-exclusive, non-transferable license to install and use the Software on devices you own or control, for your personal or internal business purposes. The Software is licensed, not sold: you do not acquire ownership of the Software itself.

If you obtained the Software from the Mac App Store, Apple's Licensed Application End-User License Agreement also applies to your use of it. Where the two conflict, Apple's terms control as to your purchase.

2. Restrictions

You may not:

3. Your Recordings and Content

4. System Permissions

The Software works within the permissions macOS grants it. It asks for the following permissions, and each one is asked for when the matching feature is used:

You can revoke any of these at any time in System Settings → Privacy & Security. Without Screen Recording the capture features do not work; without Accessibility the click-tracking and auto-zoom effects do not work; without the Microphone or Camera permission the corresponding audio or webcam source is simply unavailable. The folders the Software reads are the ones described in Section 5, and it does not require Full Disk Access.

5. Local Data and Where It Lives

The Software stores its data on your device, in these locations:

Deleting these files removes the corresponding data permanently. Sections 1 to 3 of the Privacy Policy describe what is stored, what can leave your device, and what happens to your account information.

6. Accounts and Account Services

7. Purchases and Subscriptions

8. Third-Party Components and Reference Projects

The Software bundles open-source components and contains code derived from third-party projects. Each of them is governed by its own licence, and those licences govern that component even where the rest of the Software is licensed by PodXero. Section 2 also prohibits you from removing any of the notices reproduced below.

The Software's own licence is PodXero's proprietary licence. It ships with the application as Contents/Resources/LICENSE.

8.3 What was changed

The Apache License 2.0 requires that modified files carry prominent notices stating that they were changed. Every derived file carries such a notice in its header, and the upstream NOTICE files describe the changes in full — Contents/Resources/notices/NOTICE-effects.md and Contents/Resources/notices/NOTICE-scenes.md.

The Software does not include Remotion. The animation API that those cards use is provided by a compatibility layer written for this product, and the upstream cards were adapted to it.

9. Updates

New versions are delivered as new releases that you install yourself. Features that would reach the network on their own — such as the optional driver download — are off by default and have to be switched on explicitly.

10. Disclaimer of Warranties

To the maximum extent permitted by law, the Software is provided "as is" and "as available", without warranty of any kind, whether express, implied, or statutory, including but not limited to warranties of merchantability, fitness for a particular purpose, title, and non-infringement. Licensor does not warrant that the Software will be uninterrupted, error-free, or free of viruses or other harmful components.

11. Limitation of Liability

To the maximum extent permitted by law, in no event shall Licensor be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, recordings, profits, revenue, or goodwill, arising out of or in connection with the Software or your use of it, even if advised of the possibility of such damages. Where liability cannot be excluded, Licensor's total liability is limited to the amount you paid for the Software, including subscription fees paid through the Mac App Store.

Nothing in this Agreement excludes liability that cannot lawfully be excluded, including liability for death or personal injury caused by negligence, or for fraud or fraudulent misrepresentation, or any right you have under mandatory consumer protection law in your country of residence.

12. Indemnity

To the extent permitted by law, each party agrees to indemnify and hold harmless the other from any third-party claim, including reasonable legal fees, arising out of that party's own breach of this Agreement, negligence, or wilful misconduct. No indemnity applies to a claim arising out of the other party's own conduct, and nothing in this Section limits the mandatory protections you have under the law of your country of residence.

13. Termination

This Agreement is effective until terminated. It terminates automatically if you breach any of its terms. On termination you must stop using the Software and uninstall it; sections that by their nature should survive (including Sections 3, 5, 7, 10, 11, and 12) do survive.

14. Changes to This Agreement

This Agreement may be updated to reflect product, legal, or security changes. The date at the top of this document always shows the current version, and the updated text appears on the page the publisher hosts; the app provides a link to that page in About. If you do not accept a change, stop using the Software and uninstall it.

15. Governing Law and Disputes

This Agreement is governed by the laws applicable at Licensor's place of establishment, without regard to conflict-of-law rules. Any dispute that cannot be settled amicably will be handled by the courts of competent jurisdiction at that place. Mandatory consumer protections of your country of residence remain unaffected, and nothing in this Agreement takes away any right you have under the law of your country of residence.
